Partner Terms & Conditions

These Partner Terms & Conditions ("Terms") govern the participation of businesses and organisations ("Partner", "you", "your") in the Infinity Club platform.

By registering as a Partner, submitting an offer, or allowing Infinity Club to promote your business, you agree to be legally bound by these Terms.

1. Key Definitions

For the purposes of these Terms:

Infinity Club means the digital membership platform operated by Infinity Club Ltd
Member means an individual holding a valid Infinity Club membership
Membership means subscription-based access to Infinity Club benefits
Trial means a limited free or reduced-cost access period for Members
Introductory Offer means a promotion available to new Members only
Free Gift means a complimentary item or benefit offered to Members
Gift with Purchase means a promotional benefit linked to a Member's sign-up, renewal, or qualifying action
Partner Business means a third-party business participating in Infinity Club
Household means individuals sharing a residential address

2. Acceptance of Terms

2.1 These Terms incorporate Infinity Club's Privacy Policy and Member Terms & Conditions, available via our website and app.

2.2 A legally binding agreement is formed once you accept these Terms or participate in Infinity Club in any way.

2.3 By accepting these Terms, you agree to Infinity Club promoting your business and offers digitally.

2.4 Infinity Club may commence promotion immediately upon Partner onboarding.

2.5 You warrant that you have authority to enter into this agreement on behalf of your business.

3. Partner Onboarding & Account Details

3.1 You must provide accurate, complete, and current business information.

3.2 You are responsible for ensuring:

Staff are aware of Infinity Club offers
Offers are honoured as advertised
Contact details remain up to date

3.3 Infinity Club may suspend or remove Partners providing inaccurate or misleading information.

4. Offers and Standards

4.1 Offer Standards

All offers must:

Be genuine and lawful
Be honoured in good faith
Clearly state any restrictions or exclusions

4.2 Offer Changes and Withdrawal

Infinity Club reserves the right to:

Edit, suspend, or remove offers at any time
Remove offers generating complaints, misuse, or reputational risk

Partners may withdraw offers with reasonable notice but must honour offers already redeemed where possible.

5. Trials, Introductory Offers & Fair Use

5.1 Infinity Club may operate Trials or Introductory Offers for Members.

5.2 Partners acknowledge that:

Such offers are limited to new Members
Fair-use restrictions (including household limits) may apply

5.3 Infinity Club may monitor usage to prevent abuse and may:

Cancel misuse
Remove access
End offers early

Partners must cooperate with reasonable verification requests.

6. Member Verification

6.1 Partners may verify Membership via:

The Infinity Club app
Other approved digital verification methods

6.2 Partners must not:

Copy or store Member personal data
Require additional personal information beyond verification

7. Code of Conduct & Member Interaction

7.1 Partners must ensure Members are treated respectfully.

7.2 Partners must not:

Refuse valid Memberships without cause
Impose undisclosed conditions
Discriminate against Members

7.3 Infinity Club may investigate complaints and suspend Partners where standards are not met.

8. Branding & Promotion

8.1 Infinity Club Branding

Infinity Club grants a limited, non-exclusive licence to use approved branding solely to promote participation.

Branding must:

Not be altered
Not imply ownership or endorsement
Be removed immediately upon termination

8.2 Partner Branding

Partners grant Infinity Club a royalty-free licence to display:

Business name
Logo
Offer details

for promotional purposes.

9. Data Protection

9.1 Each party acts as an independent data controller.

9.2 Partners must:

Comply with UK GDPR and Data Protection Act 2018
Limit data processing to verification only
Notify Infinity Club immediately of any data breach

9.3 Infinity Club accepts no liability for Partner data protection failures.

10. Fees & Commercial Terms

10.1 Unless otherwise agreed in writing:

Partner participation is free
No commission is charged on redemptions

10.2 Infinity Club may introduce optional paid Partner services with notice.

11. Termination

11.1 Termination by Either Party

Either party may terminate participation at any time by written notice.

11.2 Termination by Infinity Club

Infinity Club may terminate immediately where:

Offers are not honoured
Repeated complaints arise
Conduct damages the Infinity Club brand
Legal or regulatory risk is identified

Upon termination:

All offers are removed
Branding use must cease immediately

12. Liability

Nothing in these Terms excludes or limits liability for:

Death or personal injury caused by negligence
Fraud or fraudulent misrepresentation
Any liability which cannot be excluded by law

Subject to the above:

Infinity Club accepts no liability for Partner services or availability
All Member disputes relating to goods or services are between the Member and Partner
Infinity Club is not required to mediate

13. Indemnity

The Partner agrees to indemnify and hold harmless Infinity Club against all claims, losses, liabilities, or costs arising from:

Goods or services supplied
Failure to honour offers
Breach of these Terms
Regulatory or consumer claims

14. Communications & Notices

14.1 Communications may be delivered electronically and satisfy legal requirements for written notice.

14.2 Notices to Infinity Club must be sent to the registered contact address provided during onboarding.

15. General Legal Terms

Failure to enforce any right does not constitute waiver
Invalid provisions are severable
No third party rights are created
These Terms constitute the entire agreement

16. Governing Law & Jurisdiction

These Terms are governed by the laws of England and Wales.

The courts of England and Wales shall have exclusive jurisdiction.
